Session
The scheduled photography session delivered by Profile Solutions Group.

Participant / Employee
Any individual photographed during the Session.

Images / Assets
All photographic images produced by Profile Solutions Group.

Technically Defective Image
An image that cannot reasonably be used for professional corporate purposes due to a technical failure attributable to Profile Solutions Group, including:

• focus failure

• lighting failure

• exposure failure

• corrupted or missing image files

• technical processing errors.

For clarity, the following do not constitute a Technically Defective Image:

• personal aesthetic preference

• dissatisfaction with appearance

• hairstyle, clothing, or grooming choices

• facial expression or pose preference

• preference for alternative framing or composition.

Profile Solutions Group retains sole professional discretion in determining whether an image qualifies as Technically Defective.

A booking is confirmed once:

1. A quote or invoice is issued by Profile Solutions Group; and

2. The Client accepts the quote or payment is received.

Payment of the invoice constitutes acceptance of these Terms and Conditions.

Profile Solutions Group reserves the right to refuse bookings at its discretion.

Full payment of the invoiced amount is required to secure a booking unless otherwise agreed in writing.

The Client acknowledges that:

• the invoiced price reserves a specific production date

• Profile Solutions Group declines other potential bookings for the reserved time.

Failure to make payment may result in cancellation of the booking.

Because bookings reserve production time and scheduling capacity, the following cancellation terms apply.

Cancellation more than 7 days before the scheduled session

The Client is entitled to a 50% refund of the total invoiced amount.

Cancellation within 7 days of the scheduled session

The Client agrees that Profile Solutions Group is entitled to retain 100% of the invoiced amount.

This reflects lost booking opportunities and preparation costs.

Rescheduling requests may be accommodated at the discretion of Profile Solutions Group depending on availability.

Profile Solutions Group is not obligated to reschedule sessions cancelled within 7 days of the scheduled date.

Service pricing is based on the maximum participant headcount agreed at the time of booking.

The Client acknowledges that pricing tiers reflect:

• reserved production time

• allocated equipment and resources

• scheduling capacity.

If fewer participants attend the session than originally quoted, resulting in a potential lower pricing tier, no refund, credit, or price adjustment shall apply.

The agreed service fee remains payable in full regardless of final attendance.

The Client agrees to:

• ensure employees attend their scheduled time slots

• provide a suitable indoor space for the photography setup

• communicate preparation instructions to participants

• ensure participants arrive prepared for photography.

Profile Solutions Group shall not be responsible for delays caused by participant lateness or absence.

The Client confirms that it has obtained the necessary consent from all Participants attending the photography session.

By attending the Session, each Participant acknowledges and agrees that:

• they voluntarily consent to being photographed by Profile Solutions Group

• they understand that images will be created during the session

• they understand the images may be used by the Client for corporate and professional purposes.

The Client agrees it is responsible for ensuring that Participants are aware of and consent to the photography session.

Profile Solutions Group shall not be responsible for obtaining individual consent from Participants organised by the Client.

The Client acknowledges that photography is a creative service involving professional judgment and artistic interpretation.

Profile Solutions Group retains full artistic discretion over:

• lighting setup

• composition

• posing direction

• background selection

• image framing and cropping

• colour grading and editing style.

Dissatisfaction based solely on personal preference, aesthetic taste, or subjective opinion regarding appearance, pose, or expression shall not constitute grounds for refund, reshoot, or claim of service failure.

All creative decisions made by Profile Solutions Group during the photography session and editing process shall be deemed final.

Profile Solutions Group will provide professionally edited images as part of the agreed service package.

Standard editing may include:

• colour correction

• exposure adjustments

• minor skin retouching

• background consistency adjustments

• cropping for professional profile use.

Additional editing requests beyond standard retouching may be provided at the discretion of Profile Solutions Group and may incur additional fees.

Profile Solutions Group is not obligated to provide unlimited revisions or edits.

Profile Solutions Group guarantees that delivered images will meet professional technical standards suitable for corporate profile use.

If a Participant receives a Technically Defective Image, Profile Solutions Group will provide a reshoot for the affected Participant at no additional cost.

This guarantee applies only to technical defects and does not apply to subjective dissatisfaction.

Profile Solutions Group retains sole professional discretion in determining whether an image qualifies as Technically Defective.

Edited images will be delivered within the timeframe communicated to the Client, typically within 48 hours unless otherwise specified.

Images will be delivered digitally via secure download link or online gallery.

Profile Solutions Group retains full copyright ownership of all images created during the session.

Upon full payment, the Client is granted a perpetual, non-exclusive license to use the images for corporate purposes, including:

• company websites

• LinkedIn profiles

• marketing materials

• corporate communications.

Images may not be sold, sublicensed, or commercially redistributed without written permission.

Certain images displayed on this website are used for illustrative purposes and may include licensed stock photography.

Unless otherwise agreed in writing prior to the photography session, the Client and participating individuals grant Profile Solutions Group a perpetual, worldwide, royalty-free license to use selected images for:

• portfolio display

• website content

• marketing materials

• promotional publications

• social media.

If the Client requires confidentiality or restrictions on promotional usage, such restrictions must be communicated in writing prior to the photography session.

Profile Solutions Group is not obligated to remove previously published promotional material used in accordance with these Terms.

To the maximum extent permitted by law, Profile Solutions Group shall not be liable for:

• indirect or consequential losses

• business interruption

• reputational loss

• loss of profits.

Profile Solutions Group’s total liability for any claim arising from services provided shall not exceed the total fees paid by the Client for the relevant service.

Profile Solutions Group takes reasonable precautions to maintain backup equipment and secure image storage.

However, photography services involve technical risks.

In the unlikely event of equipment failure, data corruption, or loss of images beyond the reasonable control of Profile Solutions Group, liability shall be limited to:

• a reshoot where reasonably possible; or

• refund of the service fee paid.

Profile Solutions Group shall not be liable for indirect or consequential losses arising from such events.

The Client agrees to indemnify and hold harmless Profile Solutions Group against claims arising from:

• misuse of images by the Client

• unauthorised commercial use of images

• third-party claims relating to image usage.

Profile Solutions Group shall not be liable for failure to perform services due to events beyond reasonable control including:

• illness

• equipment failure

• natural disasters

• transport disruption

• government restrictions.

Where possible, reasonable efforts will be made to reschedule the session.

These Terms and Conditions are governed by the laws of New Zealand.

Any disputes arising under these Terms shall be subject to the jurisdiction of the courts of New Zealand.
